These Terms of Service ("Terms") govern your access to and use of the website located at www.doersnetwork.org (the "Site") and all related services, content, and features offered through the Site by Doers Network, Inc. ("Doers Network," "we," "our," or "us"), a Utah nonprofit corporation organized and operated as a social welfare organization under Section 501(c)(4) of the Internal Revenue Code. Please read these Terms carefully before using the Site. These Terms constitute a legally binding agreement between you and Doers Network.

1. Acceptance of Terms

By accessing or using the Site, making a donation, registering for an event, or otherwise interacting with Doers Network through the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference in its entirety. If you do not agree to these Terms or our Privacy Policy, you must immediately cease all use of the Site and any services offered through it.

Age Requirement. The Site is intended for use exclusively by individuals who are 18 years of age or older. By accessing the Site or taking any action through it, you represent and warrant that you are at least 18 years of age. Doers Network reserves the right to verify age and to deny or terminate access to any user whom we have reason to believe is under 18 years of age.

Modifications to These Terms. Doers Network reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any modifications will be effective immediately upon posting the revised Terms to the Site, which will bear an updated effective date. Your continued access to or use of the Site following any such modification constitutes your acceptance of the revised Terms.

2. Use of the Website

2.1 Permitted Uses

Subject to these Terms, Doers Network grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for the following purposes: obtaining information about Doers Network and its mission; making voluntary financial contributions; registering for or purchasing tickets to events; participating in petition, advocacy, and civic engagement activities offered through the Site; and communicating with Doers Network as a supporter or member of the public.

2.2 Prohibited Uses

You agree that you will not, directly or indirectly:

  • Use the Site for any purpose that is unlawful, fraudulent, or prohibited by these Terms or by any applicable local, state, federal, or international law or regulation;
  • Scrape, crawl, index, or use any automated tool, robot, spider, script, or data mining technique to access or extract content from the Site without Doers Network's prior written consent;
  • Gain or attempt to gain unauthorized access to any portion of the Site, to other accounts, to computer systems, or to networks connected to the Site;
  • Introduce, upload, or transmit any virus, worm, Trojan horse, ransomware, or other malicious or harmful code to or through the Site;
  • Interfere with, disrupt, degrade, or impair the operation of the Site or the servers or networks connected to the Site;
  • Impersonate any person or entity, including any officer, volunteer, or representative of Doers Network, or falsely state or misrepresent your affiliation with any person or entity;
  • Submit false, inaccurate, or misleading information through the Site, including false donor employer or occupation information that could constitute a campaign finance violation; or
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from any portion of the Site or its underlying infrastructure.

2.3 Accuracy of Information

You represent and warrant that all information you provide through the Site is accurate, truthful, current, and complete. You acknowledge that providing false information — particularly false employer or occupation information submitted in connection with a donation subject to campaign finance reporting — may constitute a violation of applicable federal or state law.

3. Donations

3.1 Voluntary Contributions; Not Tax-Deductible Under IRC § 170

IMPORTANT NOTICE REGARDING DEDUCTIBILITY: Doers Network, Inc. is organized and operated as a social welfare organization under Section 501(c)(4) of the Internal Revenue Code. Contributions, gifts, and payments made to Doers Network are not deductible as charitable contributions for federal or state income tax purposes under Internal Revenue Code § 170 or any analogous state tax provision. You should consult a qualified tax advisor with respect to the tax treatment of any contribution you make.

3.2 Finality of Donations

All donations to Doers Network are voluntary. Once a donation is processed and confirmed, it is final and non-refundable, except to the extent required by applicable law. By submitting a donation, you acknowledge and agree that you are making a voluntary contribution without expectation of any refund.

3.3 Payment Processing by NationBuilder

All donations made through the Site are processed by NationBuilder, Doers Network's platform and payment processing provider. By making a donation, you agree to be bound by NationBuilder's terms of service and privacy policy, which govern NationBuilder's processing and handling of your payment information. Doers Network does not collect or store payment card data. In the event of a processing error, dispute, or other payment issue, please contact us at [email protected].

3.4 Campaign Finance Reporting Requirements

Applicable federal and state campaign finance laws may require Doers Network to collect and publicly disclose certain information about its donors, including full legal name, mailing address, employer name, and occupation, when its activities meet applicable reporting thresholds. By making a donation, you authorize Doers Network to collect and use this information for campaign finance compliance purposes. You represent and warrant that any information you provide in connection with a donation is true and accurate.

3.5 Nature of Political Activity

Doers Network is a 501(c)(4) social welfare organization engaged in civic education, community organizing, and advocacy on issues of public policy. Doers Network is not a federal or state political action committee (PAC), a Super PAC, or a candidate campaign committee. Contributions to Doers Network are not contributions to any candidate's authorized campaign committee.

4. Event Registration and Tickets

4.1 Event Registration

You may use the Site to RSVP for or purchase tickets to events organized or co-hosted by Doers Network. By completing a registration, you represent that the information you have provided is accurate, that you are at least 18 years of age, and that you satisfy any eligibility requirements specified for the event. Event registrations and ticket purchases are processed through NationBuilder.

4.2 Ticket Purchases and Refund Policy

All event ticket sales are subject to these Terms and any additional terms presented at the time of purchase for a specific event. All ticket sales are final. Refunds, if offered, are at the sole discretion of the event host and are not guaranteed. Please review event-specific refund terms carefully before completing your purchase. Doers Network shall have no obligation to issue any refund unless expressly stated in event-specific written terms.

4.3 Event Cancellation, Rescheduling, and Modification

Doers Network reserves the right to cancel, postpone, reschedule, or materially modify any event at any time for any reason, including circumstances beyond our reasonable control such as low registration, weather, venue unavailability, or public safety concerns. Doers Network shall not be liable for any costs, expenses, losses, or damages incurred by attendees as a result of event cancellation, postponement, or modification, including transportation, lodging, or other incidental expenses.

4.4 Photography, Video, and Recording Consent

By attending any event hosted or co-hosted by Doers Network, you irrevocably acknowledge and consent to being photographed, video recorded, livestreamed, or otherwise captured by Doers Network, its staff, volunteers, contractors, or authorized representatives. You further consent to the use of your image, likeness, name, voice, and statements by Doers Network in its publications, website, social media channels, fundraising materials, advocacy communications, and other organizational materials, in perpetuity and without limitation, without further notice, consent, or compensation to you.

5. Intellectual Property

5.1 Ownership of Site Content

All content appearing on or made available through the Site — including text, articles, blog posts, advocacy materials, photographs, illustrations, graphics, icons, audio clips, video, logos, page layout, and the overall design and architecture of the Site — is owned by Doers Network, Inc. or its licensors and is protected by United States and international copyright, trademark, trade dress, and other applicable intellectual property laws.

5.2 Limited License to Users

Subject to these Terms, Doers Network grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for personal, non-commercial purposes in furtherance of Doers Network's mission. This license does not include the right to reproduce, distribute, publicly display, or create derivative works from any Site content without prior written consent of Doers Network.

5.3 Trademarks and Service Marks

The name "Doers Network," the Doers Network logo, and any other trademarks, service marks, or trade names displayed on the Site are the property of Doers Network, Inc. Nothing in these Terms grants you any right to use these marks without our prior written consent.

5.4 Permitted Sharing

You may share hyperlinks to pages on the Site on personal social media accounts or other online platforms, provided that such sharing does not suggest any false affiliation with Doers Network and does not violate any other provision of these Terms.

6. User-Submitted Content

If you submit any content to Doers Network through the Site — including through contact forms, petition actions, survey responses, email communications, or any other interactive feature — you hereby grant Doers Network a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit such content in connection with Doers Network's organizational activities and communications, in any medium now known or hereafter developed.

You should have no expectation of confidentiality with respect to any content you submit to us through the Site, except as specifically addressed in our Privacy Policy. Doers Network reserves the right, but not the obligation, to review, edit, remove, or decline to publish any submitted content for any reason.

7. Third-Party Links and Services

The Site may contain hyperlinks to third-party websites, platforms, applications, or other resources. Such links are provided for convenience and informational purposes only. Doers Network does not control, endorse, or assume responsibility for any third-party website's content, accuracy, privacy practices, terms of service, or availability. Your access to and use of any third-party website or service is entirely at your own risk and subject to that third party's applicable terms and privacy policies.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOERS NETWORK, INC. HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Content appearing on the Site reflects the positions, opinions, and advocacy of Doers Network as a social welfare organization engaged in civic activity. Nothing on the Site constitutes legal advice, financial advice, tax advice, investment advice, or any other form of professional advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOERS NETWORK, INC., AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS, YOUR ACCESS TO OR USE OF THE SITE, OR ANY CONTENT OBTAINED FROM THE SITE, REGARDLESS OF THE CAUSE OR THE THEORY OF LIABILITY.

IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF DOERS NETWORK TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO DOERS NETWORK IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Doers Network, Inc. and its officers, directors, employees, volunteers, agents, and contractors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of any provision of these Terms; (c) your violation of any applicable law or third-party rights; or (d) content you submit to or through the Site.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Utah, without giving effect to any conflict-of-law provisions.

11.2 Exclusive Jurisdiction and Venue

You agree that any action or proceeding arising out of or relating to these Terms or your use of the Site must be brought exclusively in a court of competent jurisdiction located in Salt Lake County, Utah. You irrevocably consent to the personal jurisdiction of such courts.

11.3 Waiver of Class Action

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING, PARTICIPATE IN, OR RECEIVE RELIEF FROM ANY CLASS ACTION LAWSUIT, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST DOERS NETWORK. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

11.4 Limitation on Time to Bring Claims

Any claim or cause of action arising out of or relating to these Terms or your use of the Site must be commenced within one (1) year after such claim accrues. Claims not brought within this period are permanently barred.

12. Campaign Finance and Political Activity Notice

Notice Regarding Political Activity and Tax Deductibility: Doers Network, Inc. is a social welfare organization exempt from federal income tax under Section 501(c)(4) of the Internal Revenue Code. Contributions to Doers Network are not deductible as charitable contributions for federal income tax purposes under IRC § 170 or any analogous state tax provision.

Doers Network is neither a federal or state political action committee (PAC) nor a Super PAC, and contributions to Doers Network are not contributions to any candidate's authorized campaign committee. Certain activities of Doers Network may be subject to reporting and disclosure requirements under federal law (Federal Election Campaign Act) or Utah state law. For questions about the legal or tax treatment of your contribution, consult a qualified attorney or tax advisor.

13. Account Suspension and Termination

Doers Network reserves the right to suspend, restrict, or terminate your access to the Site or to any supporter account associated with you, at our sole discretion and without prior notice, for any reason, including without limitation if we believe you have violated any provision of these Terms or engaged in fraudulent or illegal conduct. Sections 5, 6, 8, 9, 10, 11, and 12 shall survive any termination of these Terms.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any event-specific terms or other agreements executed between you and Doers Network, constitute the entire agreement between you and Doers Network with respect to your use of the Site.

14.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 No Waiver

No failure or delay by Doers Network in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

14.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of Doers Network. Doers Network may freely assign these Terms without your consent.

14.5 Electronic Agreement

You agree that these Terms may be entered into electronically and that your use of the Site constitutes your electronic signature and agreement to these Terms.
